PRA Bylaws

The NMPRA Constitution -- proposed amendments in italics

 


ARTICLE I - NAME
 

The name of this Association is "National Radio Astronomy Observatory, New Mexico Personnel Recreation Association", herein after referred to as PRA.
 

ARTICLE II - PURPOSE
 

The PRA is a local not-for-profit organization of employees, established primarily to encourage recreational and social activities for the New Mexico employees of the National Radio Astronomy Observatory.
 

ARTICLE III - MEMBERSHIP
 

Any employee and associated family shall be members, if residing in New Mexico. Other persons associated with the National Radio Astronomy Observatory may be members while in New Mexico. Membership shall be as further defined in the Bylaws to this Constitution so long as no part of the Bylaws shall contradict the Constitution.
 

ARTICLE IV- GOVERNING BODY
 

The PRA shall be governed by a board of directors consisting of seven members who are regular New Mexico employees of the National Radio Astronomy Observatory. The eligibility, organization, election, appointment, and duties of the Board of Directors shall be as further defined in the Bylaws to this Constitution so long as no part of the Bylaws shall contradict the Constitution.
 

ARTICLE V - MEETINGS
 

The Board of Directors shall meet each month, with special meetings called by the President as needed, provided he/she contact all board members in advance. Any member shall be able to attend the monthly meeting and present requests or concerns to the board.
 

ARTICLE VI - AMENDMENTS
 

Amendments to this constitution shall require a vote of the membership of the association. A majority of two-thirds of the ballots cast will be required for approval of the proposed amendment. The procedure for amending the Constitution and Bylaws shall be as further defined in the Bylaws to this Constitution so long as no part of the Bylaws shall contradict the Constitution.
 

ARTICLE VII - DISSOLUTION
  Dissolution of the Association shall be as provided for in Article V of the Bylaws to this Constitution so long as no part of the Bylaws shall contradict the articles of incorporation for AUI, Inc.
 

ARTICLE VIII - QUORUM

Robert's Rules paragraph 64, p. 257: "A Quorum of an assembly is such a number as must be present in order that business can be legally transacted.  The quorum refers to the number present, not the number voting."  A quorum shall be four of the seven elected NMPRA Board Directors.
